Signing a tenancy agreement digitally: form, signatures and records

How to sign a German tenancy agreement digitally: distinguish text form, written form and qualified signatures, check special terms and keep reliable records.

Digital signing can make letting a property easier when the parties cannot meet. The right process depends on the actual tenancy terms and the evidence you need afterwards. This guide helps owners in North Rhine-Westphalia prepare a complete agreement, choose the appropriate signature and preserve the final documents under German law.

Start with the tenancy terms before choosing a signing service

An owner in Düsseldorf has selected a tenant who is temporarily working in another German city. They agree on the apartment, starting date and monthly payments. Signing remotely would save a journey. Before sending a document for signature, however, the owner needs to establish what the agreement actually contains. Its duration, rent arrangements and additional promises determine the relevant formalities. A service's convenient interface cannot answer those questions.

An ordinary open-ended residential tenancy can generally be agreed without a specific statutory form. Whether a binding agreement exists and whether you can prove its terms later are separate issues. A contract may already have been concluded before anyone signs the prepared PDF. Label genuine drafts clearly and make it clear when discussions remain preliminary. Avoid giving an unconditional acceptance while assuming that only a later signature can create obligations. Section 535 BGB sets out the basic contractual duties of landlord and tenant.

Make a short list of the intended arrangements: residential or other premises, fixed or indefinite duration, ordinary rent or graduated or index-linked rent, any termination restriction, additional security and all parties. Check special clauses rather than relying on the description “standard agreement”. Even a familiar template may contain provisions that require a different signing process.

Our broader guide to the tenancy agreement helps with the substance. Digital signing belongs at the end of that preparation. It does not resolve an unlawful clause or a discrepancy between the rent discussed by email and the rent in the document. Give both parties time to read the final terms and ask questions before starting the signature procedure.

Understand the three German form concepts

German law distinguishes Textform, Schriftform and elektronische Form. These terms should not be treated as interchangeable translations of “in writing”. Textform requires a readable declaration identifying the person making it, supplied on a durable medium. The recipient must be able to retain or store it for an appropriate period and reproduce it unchanged. An appropriately provided email or PDF can meet this standard without a handwritten signature. A changeable webpage or a message displayed only briefly does not automatically qualify. These requirements appear in section 126b BGB.

Statutory Schriftform normally requires a handwritten signature. For a contract, the parties sign the same document, or matching counterparts in which each party signs the copy intended for the other. A photograph of a signature does not replace the properly signed original. The applicable rule is section 126 BGB.

Electronic form can generally replace statutory written form unless legislation excludes that substitution. The declarant adds their name and applies their qualified electronic signature, known as QES in German. Each party to a contract must sign an identically worded document in the required way. This is the rule in section 126a BGB. Drawing a signature on a touchscreen is not enough by itself.

Parties can also agree their own formal requirements. Section 127 BGB contains interpretation rules for those arrangements. A clause requiring amendments “in writing” therefore needs examination in context. Contractual formalities cannot simply be used to remove a stricter statutory requirement. Where wording is uncertain, obtain tenancy-law advice before configuring the electronic signing process.

Identify the residential terms that need particular care

For a residential tenancy agreed for longer than one year, section 550 BGB matters. If the required written form is missing, the agreement is generally treated as being for an indefinite period. It does not simply become wholly invalid. The provision permits termination no earlier than the end of one year after the dwelling is handed over, but it does not remove other termination requirements or the tenant protections that restrict a landlord's ability to terminate.

A fixed end date is also insufficient on its own for an ordinary residential fixed-term tenancy. Under section 575 BGB, there must be a legally permitted reason for the fixed term, communicated in writing when the agreement is made. A sufficiently specific plan for future personal occupation may be relevant. The need to check the reason also applies to shorter fixed terms. A technically valid signature cannot create a missing legal justification.

An agreement on graduated rent, Staffelmiete, or index-linked rent, Indexmiete, requires written form under section 557a BGB or section 557b BGB. Graduated rent must specify each rent or increase as a monetary amount. By contrast, a later declaration claiming an adjustment under an effective index-rent agreement requires text form. The original agreement and the later adjustment are distinct acts.

The text-form rule in section 578 BGB, concerning land and non-residential premises, does not generally replace the residential rules. Check the legal category of the property before relying on publicity about simplified digital commercial leases. Separately, establish the permissible starting rent; our guide to calculating rent explains the preparation. A valid electronic signature does not certify that the amount is lawful.

Select a verifiable signature level

“Digitally signed” does not identify a particular legal or technical standard. A typed name, an inserted image and a qualified electronic signature may produce similarly tidy documents. Their properties differ considerably. Ask what signature the actual process generates, including the selected service package and settings. A broad promise of legally effective signing is insufficient to determine whether a statutory form requirement will be met.

The eIDAS framework distinguishes electronic signatures, advanced electronic signatures and qualified electronic signatures. Advanced signatures have requirements relating to the signatory, control of signing data and detection of later changes. A qualified signature also meets requirements for its certificate and creation device. It has the equivalent legal effect of a handwritten signature. A simpler electronic signature is not excluded as evidence merely because it is electronic or unqualified, but that does not make it a substitute for statutory written form. See Articles 3, 25 and 26 of eIDAS.

Ask which qualified trust service participates, whether the chosen workflow actually creates QES and how the result can be validated. An identity check or a code sent to a phone is not sufficient evidence of qualification on its own. The Federal Network Agency's information on trusted lists explains the official route for checking providers and services.

Consider practical access as well: can every signatory complete the identification process, download the finished documents and obtain the associated records? Check the total cost for all signatories and later access. Choose against these requirements rather than assuming that one app suits every tenancy. A modest preparation step can prevent a stalled signing process immediately before the planned move.

Prepare one complete version and the correct signatories

Assemble the final agreement before anyone signs. Identify the parties, exact dwelling, included ancillary areas, starting date, payments and other agreed terms. Give attachments clear titles and version dates, and refer to them specifically in the contract. An attachment available only through a replaceable link makes it harder to establish what the parties actually accepted. The final package should be understandable without reconstructing a long email exchange.

Use a clear version description, such as “Düsseldorf apartment tenancy, version 19 September 2026”. Resolve questions before approving that version for signature. If a material detail subsequently changes, stop the pending process and agree a new complete version. Do not transfer signature images or old signature pages into an altered file. You need to connect each declaration with the precise content that the person accepted.

List every landlord and tenant. Two named tenants do not become a single signatory merely because they share an email address. Each must act personally or through someone with appropriate authority. Where a property manager or relative signs, make the representative capacity clear and check the authority. Section 164 BGB links the effect on the represented person to action in that person's name within the representative's authority.

Each person using QES follows their own identification and signing procedure. Credentials should not be shared to speed things up. If the parties use more than one language version, clarify the text being agreed and resolve inconsistencies before signing. Translation supports understanding; it does not itself settle conflicting clauses. All examples here concern German property and German tenancy law, including when one participant lives abroad.

Keep evidence of completion, receipt and the original file

The practical process is complete when the required declarations are in place and every party receives the full final agreement. Inspect the actual file. Are the intended signatories included? Are the correct attachments present? Can the electronic signatures be validated? A completion symbol in a service account is useful, but the owner still needs a properly organised contractual record outside that dashboard.

Preserve the electronically signed original file. A printout or screenshot may show the visible wording but does not automatically preserve the ability to validate electronic signatures. Export available validation reports and the related activity record. Record which version was sent, signed and made available, and when. Treat a platform activity log as evidence to assess, not as conclusive proof that every legal requirement has necessarily been satisfied.

For declarations made to an absent recipient, section 130 BGB generally makes receipt decisive. Sending, signing and receipt should therefore be considered separately. Ensure that the final documents reach the intended recipient. Correct an inaccurate address or expired access link promptly and record how the documents were supplied again. A sent invitation alone does not establish every aspect of receipt or contract formation.

Store the agreement in a property file with restricted access and a protected backup. Check that the exported files can be opened and validated independently of the provider account. Keep unnecessary identity copies and applicant information out of the signing package. Different categories of information call for different retention and deletion decisions; there is no useful single blanket period for everything collected during a letting process.

Check amendments, guarantees and termination independently

Later changes do not become exempt from formal requirements because the original contract was signed digitally. For every amendment, identify what is changing and which statutory or agreed formalities apply. Refer clearly to the original contract, describe the amendment and specify when it takes effect. Retain the original file. Quietly replacing its wording with an updated PDF obscures the contractual history and can create avoidable disputes.

A common separate issue is a private guarantee, for example one given by a tenant's parent. For an ordinary guarantee declaration, section 766 BGB requires written form and expressly excludes electronic form. QES therefore does not generally replace the required original in this situation. Have the proposed security checked separately and arrange the appropriate original document. Special rules for other guarantee situations do not justify assuming that every private guarantee can be signed digitally.

A residential termination notice has its own rule. Section 568 BGB requires written form. An ordinary email, messaging-app message or scanned signed letter is insufficient. Electronic form using QES can generally substitute, but the proper persons must issue the notice, it must reach the recipient and the relevant grounds and deadlines must be satisfied. A disputed termination merits advice from a lawyer specialising in tenancy law.

Remote contracting can also raise consumer withdrawal issues. Where a landlord acts as a business and the tenant as a consumer, the contracting circumstances, organised distance-contracting arrangements and any prior viewing are relevant. Section 312 BGB and the following provisions govern the distinction. Signing online neither automatically creates nor automatically excludes a withdrawal right. Obtain advice on the actual circumstances before relying on a general assumption.

Use a short decision process for your own letting

Return to the Düsseldorf example. The owner and one tenant agree an open-ended tenancy without graduated or index-linked rent, and any contractual formalities have been checked. A simple electronic process may generally be appropriate if consent, identity and the agreed content are properly documented. They may choose QES as an additional deliberate measure. Its use still does not turn the signing provider into a reviewer of the tenancy clauses.

If they include index-linked rent, the written-form requirement for that agreement must be addressed. An entirely electronic completion then needs an appropriate QES process for the parties. If a parent additionally gives an ordinary private guarantee, arrange the relevant original document separately. These variations explain why a single “digital signing” option cannot determine the right procedure for every document in a tenancy package.

Before sending the final invitation, confirm the following:

  • The contractual terms and special provisions are settled.
  • Every party and any representative has been identified.
  • Each declaration has the appropriate signature and form.
  • Every party receives the complete, identical contractual wording.
  • Original files, attachments and available validation evidence are retained.

If selecting suitable applicants is still your next step, our guide to finding tenants starts earlier in the process. To discuss letting your property with RICHTER Immobilien-Transaktionen, submit a landlord enquiry. Include the property's location, intended starting date and current preparation stage. Questions about a particular fixed term, guarantee or disputed clause should also be directed to a suitably qualified tenancy-law adviser. This keeps the practical letting process and specialist legal decisions properly coordinated.

Frequently asked questions

Is a scanned signature sufficient for a German tenancy agreement?

A scan can help document consent where the agreement has no special form requirement. A scan alone does not satisfy statutory written form. That normally requires handwritten signatures on the appropriate originals or, where permitted, electronic form using qualified electronic signatures.

Does every open-ended residential tenancy require a qualified electronic signature?

No. An ordinary open-ended residential tenancy can generally be concluded without a prescribed form. Particular terms, including graduated or index-linked rent, may still require written form. Contractually agreed formalities and the quality of the evidence also need consideration.

Can a digitally signed residential tenancy be terminated by ordinary email?

No. Section 568 BGB requires written form for a residential tenancy termination notice. Electronic form using a qualified electronic signature can generally substitute for it. The sender, receipt, grounds and applicable deadlines must also be correct.
